These Terms of Service (“Agreement”) govern the use of services provided by Brandafy (“Company”, “we”, “us”, or “our”), and its parent company, to you (“Client”, “you”, or “your”). By engaging our services, you agree to be bound by these Terms. If you do not agree with these terms, please do not use our services.
1. Services Provided
The Company offers design, development, and delivery of Shopify stores tailored to beginners and entrepreneurs. This includes product research, theme setup, branding elements, and technical handover of the store to the Client’s Shopify account.
Additional services may include (if offered):
- Store audits and consultation
- Conversion optimization
- Post-launch technical support services
2. Eligibility
By using our services, you confirm that:
- You are at least 18 years of age.
- You have the legal capacity to enter into binding contracts.
- All information you provide is accurate, current, and complete.
3. Payment Terms
3.1. Deposit Requirement: A deposit or full payment may be required before the commencement of any services. The required payment will be outlined at checkout or in your invoice.
3.2. Final Payment: If only a deposit is paid initially, the remaining balance is due prior to delivery of the completed store.
3.3. Accepted Methods: We accept payments via major credit/debit cards or bank transfer.
4. Refund Policy
We provide a full refund policy to protect your investment. Details are as follows:
4.1. Refund Prior to Delivery
- Clients are eligible for a 100% refund of the initial deposit if they cancel before the completed store is delivered.
- “Delivery” is defined as the Client’s written or verbal approval of the final version and the successful transfer of the store to the Client’s Shopify account.
- Cancellation requests must be submitted via email at [email protected].
4.2. No Refunds After Delivery
Once the Client approves the store and it is delivered to their control, our development service is considered fully rendered, and all payments become non-refundable.
5. Client Responsibilities
By using our services, you agree to:
- Cooperate with the Company throughout the store build process.
- Provide necessary information and access promptly.
- Maintain an active Shopify subscription.
- Be responsible for ongoing store management, customer service, and advertising unless otherwise agreed in writing.
6. Intellectual Property
Until full payment is made, the Company retains all rights to the intellectual property created. Upon full payment and delivery, all rights to the Shopify store, branding assets, and custom materials created under this agreement are transferred to the Client, except for any third-party assets or plugins which remain the property of their respective owners.
7. Third-Party Services
The Company may recommend or integrate third-party services (e.g., Shopify, payment processors, apps). We are not responsible for the terms, functionality, or issues arising from third-party providers. Your use of these services is governed by their individual terms.
8. Disclaimer of Warranties
The Company does not guarantee any specific financial results from the use of the Shopify store. Store performance depends on multiple factors including market conditions, advertising effectiveness, and Client execution. All services are provided “as is” without warranties of any kind, express or implied.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or business interruption, even if advised of the possibility of such damages.
Our total liability shall not exceed the amount paid by the Client for the services rendered.
10. Termination
Either party may terminate the agreement prior to delivery by providing written notice. If terminated after delivery, no refunds shall be granted, except as outlined in Section 4.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles.
12. Modifications to Terms
We reserve the right to update or modify these Terms at any time. Any changes will be posted on this page with an updated effective date. Continued use of our services after changes are made constitutes acceptance of those changes.
